These terms and conditions ("Terms") govern your use of our website, including any content, features, or services we offer (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Site.

1. Use of the Site

a. Eligibility. You must be at least 18 years of age to use the Site or have the consent of a parent or guardian. You are responsible for ensuring that your use of the Site complies with all applicable laws and regulations.

b. User Accounts. To access certain features of the Site, you may be required to create a user account. You agree to provide accurate, complete, and up-to-date information when creating or updating your account. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.

2. User Content

a. Ownership. You retain ownership of any content that you post on the Site ("User Content"). However, by posting User Content on the Site, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, copy, distribute, transmit, display, perform, and create derivative works from your User Content.

b. Responsibility for User Content. You are solely responsible for any User Content that you post on the Site. You represent and warrant that you have all necessary rights to post User Content on the Site and that your User Content does not infringe on any third-party rights.

3. Payment and Refunds

a. Payment. If you use the Site to purchase tutoring services, you agree to pay all fees associated with such services. You agree to provide accurate billing and payment information.

b. When a student confirms a booking, the lesson fee for that particular lesson will be displayed on the website. The same fee will be visible in the student’s lesson dashboard, reminder emails, and receipt of payment emails.

c. The lesson fee includes the tutor fee and Tutorstadia’s platform fee. VAT or sales tax is already included in the fees.
 
d. Students will have to pay the platform fee in exchange for the services listed the terms and conditions. The platform fee will depend on the number of hours of lessons the tutor taught before the lesson.
 
e. The tutor's fee for a lesson, known as the tutor fee, will represent 75-85% of the lesson fee for that particular lesson. The percentage of the lesson fee that represents the tutor fee, received by Tutorstadia as an agent for the tutor, will be determined based on the number of hours of lessons taught by the tutor prior to the lesson, as shown on the website.
 
f. Students authorize Tutorstadia to charge their credit/debit card through Stripe, 24 hours after the scheduled end time of each lesson.
 
g. If a student cancels a booking less than 24 hours before the scheduled lesson, payment may be taken less than 24 hours after the lesson is due to end.
 
h. If a student makes a complaint or raises a refund request, charges may still be processed as usual to collect payment, and refunded as appropriate, in accordance with the terms and conditions.
 
i. For online lessons, students will be charged the full lesson fee if the tutor attended the online classroom for at least 15 minutes from the scheduled start time. No charge will be made to the student if the tutor does not attend for at least the first 15 minutes of the lesson.

4. Disclaimers and Limitations of Liability

a. THE WEBSITE PROVIDES A MARKETPLACE WHERE INDIVIDUALS IN SEARCH OF TUTORING SERVICES CAN CONNECT WITH THOSE OFFERING TUTORING SERVICES.

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SITE OR ANY CONTENT, FEATURES, OR SERVICES PROVIDED ON OR THROUGH THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. 5. Tutorstadia's Rights and Responsibilities can be restated as the entitlements and obligations that Tutorstadia has.

a. The purpose of the website is to facilitate the connection between tutors and students. This is achieved by allowing tutors to advertise their professional tuition services on the website and enabling students to book and pay for lessons.

b. Tutorstadia aims to keep the website functional, including its communication systems, booking platform, and online classroom. While Tutorstadia cannot guarantee the website's continuous availability or flawless operation, it strives to maintain proper functioning at all times. However, occasional maintenance periods may require taking the website offline.

c. Tutorstadia is responsible for notifying users of any planned maintenance or downtime.
 
d. Tutorstadia endeavors to keep the website free of viruses and worms.
 
e. Tutorstadia is committed to verifying the identity of all tutors and conducting background checks for those with "Background Checked Status." However, if a student has concerns about a tutor, it is advisable not to meet the tutor alone.
 
f. Tutorstadia has the authority to determine when a tutor's profile is adequately complete to be published and accessible to other users.
 
g. Tutorstadia is responsible for notifying both students and tutors of new bookings, booking confirmations, and cancellations through the website and email, unless a user has altered their notification settings to exclude email communication.
 
h. Tutorstadia makes reasonable efforts to ensure that lesson fees and tutor fees are processed promptly, usually within nine days of a lesson, unless there is a complaint or failed payment.
 
i. Tutorstadia strives to handle complaints promptly and in accordance with the terms and conditions.
 
j. Tutorstadia aims to issue refunds to students promptly as outlined in the terms and conditions.
 
k. Tutorstadia endeavors to handle failed payments quickly and in accordance with the terms and conditions.
 
l. Tutorstadia takes reasonable precautions to safeguard the information of both students and tutors.
 
m. Tutorstadia monitors posts on the website and messages between students and tutors to facilitate meetings and prevent the misuse of the website, as specified in the terms and conditions.
 

6. User Responsibilities - this applies to all users of the Website, including students, tutors, and others.

a. Users are responsible for their own safety while using the Website, both online and offline.
 
b. Users are exclusively responsible for any material they post on the Website, including messages, and must not post any defamatory, offensive, or illegal material.
 
c. If users come across any defamatory, offensive, or illegal content on the Website, they must report it immediately to Tutorstadia.
 
d. Users must use their own judgement to determine the accuracy of the information provided on the Website. Tutorstadia cannot guarantee that all of the content on the Website is complete, accurate, or up-to-date.
 
e.  If users believe their password has been compromised, they must inform Tutorstadia immediately. Users will be responsible for any actions taken under their name until Tutorstadia is notified that their password has been compromised.
 
f. Users are not allowed to use the Website to connect directly with other users outside of Tutorstadia's environment. They must not promote any other company's services or opportunities on the Website.
 
g. Users agree to follow the Privacy Policy provided on the Website.
 
h. If Tutorstadia determines that a user has failed to comply with these terms and conditions, they may be immediately suspended from using the Website and related services. Tutorstadia reserves the right to cancel any existing bookings in such circumstances.
 
7. Student Responsibilities
 
The following are the responsibilities of students who use Tutorstadia:
 
a. Tutorstadia is only responsible for its own actions and is not liable for the actions or omissions of Tutors or Students.
 
b. Students under 18 years old must have a parent or legal guardian provide consent for them to receive tuition from a Tutor via Tutorstadia. Tutorstadia is not responsible for any dispute between a person under the age of 18 and a parent or guardian.
 
c. Students must ensure that their personal information and contact details are accurate and up-to-date.
 
d. Students must confirm their booking up to 12 hours before the start of the first lesson if made more than 24 hours in advance, or up to 2 hours before the start of the first lesson if made within 24 hours.
 
e. To confirm a booking, students must enter valid payment information on the website.
 
f. By confirming the first lesson booking, students authorize the Tutor to make further bookings on their behalf and authorize Tutorstadia to collect payment for the Platform Fee and Tutor Fee for each lesson.
 
g. When a booking is confirmed, the student enters into a direct contract with the Tutor for the provision of lessons and Tutorstadia is not liable for the Tutor’s provision of lessons.
 
h. When a booking exists, the student must have a valid debit/credit card registered on the website with sufficient funds to cover the booking.
 
i. Students must not attempt to circumvent or disintermediate Tutorstadia in any way when booking a tutor or during any period of confirmed bookings with a tutor or within six months of the most recent booking with the relevant tutor.
 
j. Students must provide the necessary information to the tutor, including their correct address, to allow the lesson to take place.
 
k. Students are responsible for checking the credentials, expertise, references, qualifications, and insurance policies of any tutor with whom they confirm a booking.
 
l. Students are responsible for checking that bookings made by tutors on their behalf are done correctly.
 
m. Students are responsible for ensuring that they have the correct equipment to access the Online Classroom prior to an online lesson.
 
n. Any student who fails to comply with these terms and conditions may be immediately barred from using the website and any related services.
 
o. Students may cancel a booking without charge by giving more than 24 hours' notice.
 
p. These terms and conditions do not affect a student's statutory rights.
 
q. Students are not required to sign up with any tutor or make any bookings simply by agreeing to these terms and conditions.
 
r. Students may stop using the Tutorstadia service at any time.
 
s. Students agree not to record lessons separately to Tutorstadia or share them.
 

8. Tutor Responsibilities

a. Tutors are solely responsible for their actions both on and off the Tutorstadia website, and are not employees of Tutorstadia.
 
b. Tutors must be at least 18 years old.
 
c. Tutors must have the legal entitlement to work on a self-employed basis in the UK, including possessing the relevant immigration status where applicable.
 
d. Tutors must ensure that any students they contact who are under 18 are represented by a parent or legal guardian who gives consent for the student to receive tuition.
 
e. Tutors are responsible for ensuring that their personal information and statements on the website are accurate and not misleading, and must promptly update this information as necessary.
 
f. Tutors must disclose any criminal convictions or cautions they have to Tutorstadia, including any received after registering on the website.
 
g. Tutors who claim Background Checked Status must meet the requirements set out in the terms and conditions.
 
h. Tutorstadia may bar any tutor who fails to comply with the terms and conditions from using the website and cancel any existing bookings.
 
i. Tutors must use their own judgement about whether they wish to offer their tuition services to each individual student, and must take precautions to ensure they work in a safe environment and maintain their own insurance policies.
 
j. Tutors are responsible for setting their own tutor fee and must not undercut Tutorstadia.
 
k. Tutors will be ranked on the website based on profile data, student ratings, and number of lessons taught, and Tutorstadia may change the way tutors are ranked at any time.
 
l. Tutors should make bookings for lessons and respond to messages promptly.
 
m. Tutors must make a booking to account for any meetings with a student found via Tutorstadia's website and may not solicit students or disintermediate Tutorstadia during the Tutor Restriction Period.
 
n. Tutors must only make bookings for lessons in accordance with their students' instructions, and must refund any tutor fees received for any additional bookings they fail to deliver.
 
o. Tutors must attempt to call the student and allow 15 minutes from the scheduled start time for the student to attend the lesson. Failure to do so will result in a refund of any tutor fees received.
 
p. Tutors must not complete or intend to complete coursework or assignments on behalf of students.
 
q. Tutors must communicate with students to organize bookings and arrange lessons via the website.
 
r. Tutors are responsible for any claims and liabilities arising from their use of the website and must indemnify Tutorstadia accordingly.
 
s. Tutors must ensure they have the correct equipment to access the Online Classroom and will refund fees received if they are unable to access the Online Classroom, except in cases where Tutorstadia fails to provide the service.
 
t. Tutors must be at the lesson location at the agreed time and will refund any tutor fees received if they are late and fail to contact the student.
 
u. All lessons may be recorded and stored, and users agree to their storage and use by Tutorstadia.
 
v. Tutors agree to recordings being shared with students.
 
9. Cancellations
 
Section 9 outlines the cancellation policy for students and tutors on the TutorStadia platform.
 
a. Students have the option to cancel a scheduled lesson at any point prior to the lesson's scheduled start time. However, cancellations must be made through the website and not through direct contact with the tutor, as doing so may result in charges being made to the student's account.
 
b. If a student cancels a lesson at least 24 hours prior to the scheduled start time, there will be no charge. However, if a student cancels less than 24 hours before the lesson, the tutor has the option to either accept the cancellation request and not charge the student, charge the student 50% or 100% of the lesson fee, as displayed at the time of confirming the booking. If the tutor does not provide instruction, TutorStadia, as the tutor's agent, will automatically instruct Stripe to charge the student 50% of the lesson fee.
 
c. If a cancellation is made less than 6 hours before the lesson is due to start, an additional Late Cancellation Handling Fee of £5 will be charged to the student if the tutor chooses to charge 50% of the lesson fee, or if the tutor chooses not to charge. The Late Cancellation Handling Fee will not be charged if the tutor chooses to charge 100% of the lesson fee, and students will not pay more than the lesson fee when cancelling a lesson. However, the fee will not be charged if the tutor cancels a lesson less than 6 hours before it is due to start, and the reason given indicates that they are not cancelling on behalf of the student.
 
d. Bookings cannot be cancelled once a lesson has started, and if a student does not attend a lesson that was not cancelled prior to the start time, they will be charged the full price of the lesson. However, in cases of extenuating circumstances, the tutor and TutorStadia may choose to issue a full refund at their discretion. Tutors also have the option to cancel a booking at any time before the lesson starts, and if the reason given shows that they are not cancelling on behalf of the student, the student will not be charged or will receive a full refund if they have already paid.
 
10. Unattended Classes and Complaints
 
Section 10 of these terms and conditions defines a "Complaint" as any reason for a student to seek a refund from a tutor for services provided on the website, including but not limited to missed lessons (where the tutor did not attend a scheduled lesson) or complaints about quality of service. If a student wishes to make a complaint, they must inform TutorStadia within 96 hours after the scheduled finish time of the lesson.
 
a. When TutorStadia receives a complaint, they will contact the tutor within 48 hours to inform them of the complaint. If the student informs TutorStadia of a complaint within 96 hours after the scheduled finish time of the lesson, the tutor has 48 hours to dispute the complaint through the website. If the tutor does not dispute the complaint within 48 hours, TutorStadia will instruct Stripe to process a full refund of the tutor fee to the student. TutorStadia may also refund the platform fee as a goodwill gesture. TutorStadia will inform the student of the tutor's decision regarding the complaint.
 
b. If a student informs TutorStadia of a complaint more than 96 hours after the scheduled finish time of the lesson, the tutor has 48 hours to uphold the complaint and authorize TutorStadia to award the associated refund of the tutor fee. If the tutor does not contact TutorStadia within 48 hours, TutorStadia will inform the student of the tutor's decision to reject their complaint and reject the associated refund request.
 
c. If the student and tutor cannot reach an agreement regarding a complaint, the student can make a claim against the tutor. TutorStadia accepts no liability for complaints and services provided by a tutor.
 
d. If a missed lesson occurs due to TutorStadia's failure to meet the terms set in the terms and conditions, TutorStadia will refund the platform fee paid by the student.
 
e. TutorStadia reserves the right to offer a student a payment equivalent to the full lesson fee as a gesture of goodwill, at their sole discretion.
 

11. Unsuccessful Payments

a. "Unsuccessful Payment" as a Lesson Fee for a Booking that remains unpaid because Stripe, following Tutorstadia's instructions, was unable to successfully charge the payment details provided by the Student. If a Failed Payment remains outstanding 48 to 72 hours after the relevant Lesson's scheduled end, the Student authorizes Tutorstadia to automatically instruct Stripe to retry the charge. Alternatively, the Student can give consent for Tutorstadia to retry payments for any outstanding Failed Payment through chat, email, SMS, or support messages.

b. Tutorstadia, as the Tutor's agent, may cancel Lessons and Bookings to protect the Tutor from further loss of earnings at any point if the Student has an outstanding Failed Payment, even if it is for a Booking with another Tutor. If a Failed Payment remains outstanding 96 hours after the scheduled end of the relevant Lesson, Tutorstadia will cancel all of the Student's further Bookings and inform the Tutor by SMS that Stripe was unable to collect payment on their behalf. The Tutor must not make any further Bookings for Lessons with the Student until Stripe makes a successful charge for the full Lesson Fee.
 
c. As the Tutor's agent, Tutorstadia may contact the Student by email, SMS, and/or phone for up to ninety days following the relevant Lesson's scheduled end to seek payment for Failed Payments. The Student acknowledges that Tutorstadia may pass bad debts for Tutorstadia's Platform Fees to third-party debt collection services and that their credit rating may be affected. Tutorstadia will not be liable to the Tutor for any lost earnings resulting from any Failed Payment.
 
d. Tutorstadia may, at its discretion, pay the Tutor an amount equal to the Tutor Fee for any Lessons for which there has been a Failed Payment as a gesture of goodwill, but this is not an obligation.
 
11. Child Protection
 
a. Tutorstadia aims to provide a safe and secure learning environment for children and offers the best possible service to achieve this goal.
 
b. If a User is a parent of a child under 18 who has a Lesson with a Tutor, they should not leave the child in the sole care of the Tutor.
 
c. In case of any concerns regarding child protection, Users should contact Tutorstadia immediately.
 
12. Intellectual Property
 
The Tutorstadia Website's intellectual property, logo, and code are the property of Tutorstadia and cannot be used without their consent. All copyrights, trademarks, and other intellectual property on the Tutorstadia Website, including material posted by individual members, are owned by Tutorstadia. Without the consent of Tutorstadia, it is prohibited to reproduce, distribute, display in public, or create derivative works from any material located on the Tutorstadia. Please refer to our Copyright Notice, which is part of these Terms and Conditions.
 
By posting any material on the Tutorstadia Website, you:
 
(a) Certify that you have the full authority to do so;
(b) Grant Tutorstadia a non-exclusive, royalty-free, and irrevocable license to reproduce, modify, distribute, display in public, and create derivative works from that material in any form and anywhere; and
(c) Authorize Tutorstadia to modify the relevant material, and you waive the right to be recognized as the author of the material in question.
 
13. Using the Dashboard
 
a. Tutorstadia members can manage their messages and ads by accessing their dashboard. This feature allows users to control their profile information, announcements (including adding, deleting, and editing), and communicate with tutors or students.
 
b. Tutors are expected to respond promptly and to all students who have made requests. Failure to respond may result in the suspension of their tutor announcements until they have responded to their students.
 
c. Tutorstadia may filter messages and contact the sender directly if they are considered spam or do not align with the site's purpose. The platform also has the right to keep or delete exchanged emails.
